You agree not to access (or attempt to access) any of the services by any means other than through the interfaces provided by Inflection Poynt. You agree not to use the services for any commercial or other purposes that are not expressly permitted by these Terms.
You acknowledge and agree that Inflection Poynt and its licensors own all legal right, title and interest in and to the services, including any intellectual property rights that subsist in the services (whether those rights happen to be registered or not, and wherever in the world those rights may exist).
The services are provided on an “as is” and “as available” basis. Inflection Poynt makes no representations or warranties of any kind, express or implied, regarding the use or the results of the services in terms of their correctness, accuracy, reliability, or otherwise. Inflection Poynt disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.
In no event shall Inflection Poynt, its officers, directors, employees, or agents, be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from any (i) errors, mistakes, or inaccuracies of content, (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the services, (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein, (iv) any interruption or cessation of transmission to or from the services, (iv) any bugs, viruses, trojan horses, or the like, which may be transmitted to or through the services by any third party, and/or (v) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the services.
8.General
These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you hereby submit to the personal jurisdiction of such courts. If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. These Terms constitute the entire agreement between you and Inflection Poynt regarding the use of the services, superseding any prior agreements between you and Inflection Poynt regarding the use of the services. The failure of Inflection Poynt to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
